All Things Interactive, LLC (ATI) may offer you an opportunity to become an independent iDecide Affiliate (\u201cAffiliate\u201d), wherein you have the opportunity to earn additional money for iDecide products, services, and accounts that you sell. ATI reserves the sole and exclusive right to determine the amount of remuneration each Affiliate will receive in exchange for the Affiliate's efforts. Affiliate commission is further discussed herein. See also iDecide Terms of Service, which apply to you in your role as Affiliate, unless otherwise expressly provided for. This Affiliate Agreement (\u201cAgreement\u201d) governs your application for, and any subsequent participation in the Company\u2019s Affiliate program. SECTION 1 \u2013 PARTIES<\/u>\u00a0<\/span><\/strong>All references to \u201cATI\u201d herein means and refers to All Things Interactive, LLC. All references to \u201cYou\u201d and \u201cYour\u201d mean and refer to the person or entity who has executed this Agreement. ATI and You are each referred to herein as a \u201cParty,\u201d and collectively as the \u201cParties.\u201d You agree to notify us in writing if the legal name of your business or account ownership changes within twenty-four (24) hours of such change and You certify that all such information is truthful and accurate. SECTION 2 \u2013 APPLICATION<\/u>\u00a0<\/span><\/strong>You agree to provide all information requested by ATI in connection with Your Affiliate application, and You affirm that all information that You provide is truthful and accurate. You understand and agree that ATI retains sole and exclusive discretion to determine whether You qualify for participation in the iDecide Affiliate program. Not everyone who applies for the iDecide Affiliate program will qualify to participate.<\/span>\u00a0<\/strong><\/p><\/div>\n\t\t\t<\/div>\n\t\t\t<\/div>\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t<\/div>\n\t\t\t\t\n\t\t\t\t\n\t\t\t<\/div>

SECTION 3 - CONSENT TO BE CONTACTED\u00a0<\/u><\/strong>\u00a0You expressly consent to be contacted at the email address and the phone number You provide in Your application about Your application and the Affiliate program, including through automated dialing systems, texts and artificial or pre-recorded messages, whether by ATI or a third-party on behalf of ATI.\u00a0This consent is a material condition of this Agreement and may not be revoked except in writing by both Parties.<\/span><\/p><\/div>\n\t\t\t<\/div>\n\t\t\t<\/div>\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t<\/div>\n\t\t\t\t\n\t\t\t\t\n\t\t\t<\/div>

iDecide productSECTION 4 - COMPENSATION\u00a0<\/u><\/strong> \u00a0If Your application to become an Affiliate is approved by ATI, You will receive a unique Affiliate Link. The Affiliate Link should be incorporated within each URL which You will use to advertise iDecide. You will have the opportunity to receive a commission for each new iDecide customer sale (\u201cSale\u201d), and each recurring sale to your customers, that are registered using Your Affiliate Link. A \"Sale\" shall be defined as the purchase of any iDecide product.<\/span><\/p>\n

<\/span><\/p>\n

In the event that a prospect (\u201cProspect\u201d) has multiple Affiliate cookies (\u201cCookies\u201d), the one used to complete the transaction will determine which Affiliate is credited with a Sale.\u00a0There are some products and services sold that do not have trial periods.<\/p>\n

 <\/p>\n

Provided that the Sold Account (as defined below) remains in good status within thirty (30) days from the Sale, You will be paid a commission for each Sold Account that generates a payment to ATI in a month (\u201cCommission\u201d).\u00a0Except as otherwise provided herein, Commission payments will be paid on the 15th of each month following\u00a0\u00a0<\/span><\/sup>ATI's receipt of payment for a Sold Account, subject to the other terms of this Agreement.\u00a0In the event the 15th of\u00a0the month falls on a holiday, Commission payments will be paid on the business day after the holiday.\u00a0All Commission payments are based on the amount of fees received by ATI, less sales taxes.<\/p>\n

 <\/p>\n

If You apply and are accepted as an Affiliate, You will have the opportunity to receive a commission once all of the following conditions are met:<\/p>\n

\n

(i) a Prospect creates an ATI account or purchases an ATI product or service using Your Affiliate Link,\u00a0<\/p>\n

(ii) the free trial period expires (when applicable,)\u00a0<\/p>\n

(iii) the Prospect makes payment that is not rejected or disputed, and<\/p>\n

(iv) a Sale is registered (each such account is a \u201cSold Account.\u201d)\u00a0<\/p>\n

 <\/p>\n

The amount of Commissions are as follows, but are subject to change at the sole discretion of ATI:<\/p>\n

 <\/p>\n

1.\u00a0\u00a0\u00a0\u00a0Sales from Customers who purchase using your Affiliate link: 10%;\u00a0<\/p>\n

2.\u00a0\u00a0 <\/span>Sales from Customers who purchase using the Affiliate link of one of your sub-affiliates: 5%<\/p>\n

 <\/p>\n

All Commissions and Bonuses are paid in US Dollars (USD) or otherwise in currencies offered by the payment provider. Some payment methods may incur processing fees that may be deducted from Your Commissions or Bonus payment.\u00a0<\/p>\n

 <\/p>\n

You may need to register with a third-party payment provider to receive payment of Commissions.\u00a0This means You are authorizing third party companies to contact You.\u00a0Before You can be paid any Commission or Bonus, You must provide ATI a completed W-8 or W-9 tax form, as instructed by ATI, as well as any supporting documentation requested by ATI or its third-party payment provider.\u00a0You will be deemed to have permanently waived all rights to Commissions or Bonuses that were earned more than 120 days before submitting a completed W-8 or W-9 tax form or any ancillary supporting documentation that is requested to confirm the information on your tax form.\u00a0If You are not a resident of the United States,\u00a0ATI may withhold tax (including without limitation VAT) where required by applicable law.\u00a0You are solely responsible for complying with all tax laws in Your respective jurisdiction (s) including, but not limited to, the payment of all required taxes, and filing of all returns and other required documents with, the applicable governing body(ies).<\/p>\n

 <\/p>\n

Affiliates will not be paid any Commissions or Bonuses for payments made on Affiliate's own user account(s). Affiliates are not permitted to open any iDecide account under the name of another person or entity, under a fictitious name, or under any name merely for the purpose of obtaining Commissions, Bonuses or any other compensation. Affiliates may not pay for another person's or entity's account. Affiliates are not permitted to offer cash rebates or other monetary incentives to obtain Sales.<\/p>\n

 <\/p>\n

Commissions and Bonuses are paid only for transactions that actually occur between ATI and a Prospect in which payment is received by ATI.\u00a0If payment for a Sold Account later results in a refund or chargeback, and if a Commission or Bonus was paid to You for that Sold Account, then the Commission or Bonus will be deducted from Your future Commissions and\/or Bonuses.\u00a0<\/p>\n

 <\/p>\n

If ATI determines, in its sole and exclusive discretion, that any Sale was procured fraudulently or as a result of any violation of this Agreement or applicable law, no Commission or Bonus will be paid for such Sale and, for past sales, such payment amounts shall be deducted from Your future Commissions and Bonuses, and ATI may terminate this Agreement immediately, without notice, and without ATI having any liability to You.<\/em><\/p><\/div>\n\t\t\t<\/div>\n\t\t\t<\/div>\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t<\/div>\n\t\t\t\t\n\t\t\t\t\n\t\t\t<\/div>

SECTION 5 - TERM AND TERMINATION<\/u>\u00a0\u00a0<\/strong>The term of this Agreement will begin the earlier of (i) when You click \u201cSign Up\u201d and submit; or (ii) Your participation in the Affiliate program is approved. Your participation in the iDecide Affiliate program will continue month-to-month until terminated. Either Party may terminate this Agreement at any time, with or without cause, by giving the other Party thirty (30) days' written notice of termination. If, in our sole discretion, You fail, or we suspect that You have failed, to comply with any term or provision of the Agreement or the Terms of Service, or violated any law, whether in connection with Your use of iDecide or otherwise, ATI may take any action that it deems necessary, including without limitation to terminating the Agreement or suspending Your access to the Affiliate website (\u201cWebsite\u201d) at any time without notice to You. In addition, if, based on our data, you have a dispute rate greater than 2%, we may terminate this Agreement or suspend your access to the Website at any time without notice to You. In such instances as described above, and in our sole discretion, we may terminate our relationship and suspend any accounts owned\/controlled by You. For the avoidance of doubt, and without limitation for purposes of the foregoing, any violation of the required disclosure will be deemed a material breach of this Agreement. See Appendix A, Section 2, Disclosure. In the event this Agreement is canceled due to Your breach, You immediately forfeit all Commissions and Bonuses owed at that time.\u00a0<\/span>This Agreement will terminate automatically if You earn no (zero) Commissions over a 12 month period.<\/strong><\/p>\n

 <\/p>\n

If this Agreement is terminated or canceled, then all provisions that, by their nature, should survive, will survive, including, but not necessarily limited to, all limitations of liability, disclaimers of warranties, indemnity obligations, mandatory arbitration and class action waiver provisions, and exceptions to arbitration. All representations and warranties undertaken by You shall also survive termination or cancellation of this Agreement and\/or Your iDecide account.<\/p><\/div>\n\t\t\t<\/div>\n\t\t\t<\/div>\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t<\/div>\n\t\t\t\t\n\t\t\t\t\n\t\t\t<\/div>

SECTION 6 - ADDITIONAL REPRESENTATIONS AND WARRANTIES<\/u>\u00a0\u00a0<\/strong>In addition to Your other representations and warranties herein, You further represent and warrant that there are no prior or pending government investigations or inquiries of, or prosecutions against You by the Federal Trade Commission (\u201cFTC\u201d), any other federal or state governmental agency, or any industry regulatory authority, anywhere in the world, nor any prior or pending private lawsuits against You which relate to alleged intention torts or alleged violation of any consumer protection or advertising laws. If You become the subject of such an investigation, inquiry, prosecution, or lawsuit any time after this Agreement is executed, You are required to notify ATI of the same within 24 hours. ATI, in its sole and exclusive discretion, may immediately terminate Your participation in iDecide\u2019s Affiliate program.\u00a0<\/span><\/p><\/div>\n\t\t\t<\/div>\n\t\t\t<\/div>\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t<\/div>\n\t\t\t\t\n\t\t\t\t\n\t\t\t<\/div>

SECTION 7 - ENTIRE AGREEMENT<\/u>\u00a0<\/span><\/strong>This Agreement, Appendix A below, along with ATI\u2019s standard\u00a0<\/span>Terms of Service<\/u>, represents the entire agreement between the Parties and supersedes any other written or oral agreement between the Parties as pertaining to Your Affiliate application and, if approved, Your rights and responsibilities as an Affiliate.<\/span><\/p><\/div>\n\t\t\t<\/div>\n\t\t\t<\/div>\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t\t\n\t\t\t<\/div>\n\t\t\t\t\n\t\t\t\t\n\t\t\t<\/div>

Additional Terms of the Affiliate Agreement and Advertising Rules<\/strong><\/p>\n

These Advertising Rules apply to all activities of Affiliate:<\/p>\n

1.\u00a0\u00a0\u00a0\u00a0\u00a0General Compliance.<\/u>\u00a0Affiliate shall publish or otherwise distribute advertisements in strict compliance with all applicable laws and regulations, including without limitation, laws prohibiting deceptive and misleading advertising and marketing, email marketing laws (including the federal CAN-SPAM Act (15 USC \u00a7 7701)), data protection laws (including but not limited to the European Union General Data Protection Regulation, UK Data Protection Act, California Consumer Privacy Act, and Brazilian General Data Protection Regulation), laws governing testimonials (including the FTC's Revised Endorsements and Testimonials Guides (16 CFR Part 255 of the Code of Federal Regulations)), and all guidelines issued by the FTC.\u00a0Affiliate is solely responsible for ensuring Affiliate's compliance with all laws. Affiliate is prohibited from publishing or otherwise distributing advertisements by telemarketing, fax, or text messaging in any form to any device.\u00a0Affiliate shall not offer monetary incentives, such as rewards points, cash, or prizes to Prospects in return for their response to an advertisement.\u00a0Affiliate may, however, offer Prospects information and materials of tangible value including, but not limited to, website templates, information about e-commerce, website design, and online marketing, for reduced or no charge, but only so long as Affiliate accurately describes and delivers such information and materials to the Prospect.<\/p>\n

 <\/p>\n

2.\u00a0\u00a0\u00a0\u00a0\u00a0Disclosure<\/u>. On any website that Affiliate advertises any iDecide service or product, Affiliate must plainly display ( ie\u00a0<\/em>, not in a link, or in small font) disclaimer language, such as:<\/p>\n

Disclosure:\u00a0<\/em><\/strong> I am an independent iDecide Affiliate, not an employee, and receive referral payments from All Things Interactive, LLC. The opinions expressed here are my own and are not official statements of All Things Interactive, LLC.<\/em><\/p>\n

 <\/p>\n

3.\u00a0\u00a0\u00a0\u00a0\u00a0Non-Disparagement<\/u>. Affiliate is not permitted to comment negatively about or disparage the products or services of ATI or any other person or entity, including without limitation the products or services of an ATI competitor. Affiliate is not permitted to engage in any unlawful or deceptive actions, including but not limited to, search engine optimization, using any technique that generates paid search results based on any trademarks of ATI or iDecide, any brand name of ATI or iDecide, or based on the trademarks or brand name of any competitor of ATI or iDecide, or any other third party. Affiliate shall not direct link to an iDecide sales page from any paid advertising.\u00a0<\/strong><\/p>\n

 <\/p>\n

4.\u00a0\u00a0\u00a0\u00a0\u00a0Social Media<\/u>.\u00a0If Affiliate advertises on Instagram or YouTube, then each post must comply with\u00a0all of the following:<\/span><\/p>\n

\u00b7\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0Each post must contain @idecideinteractive or #iDecide.<\/p>\n

\u00b7\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0Each post must contain #ad in a clear and conspicuous location before the text of the description and in all events before the \u201cMore\u201d button.<\/p>\n

\u00b7\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0Each Instagram post must use Instagram's \u201cPaid Partnership\u201d tool.<\/p>\n

\u00b7\u00a0\u00a0\u00a0\u00a0Each YouTube post must contain the word \u201cAd,\u201d \u201cAdvertisement,\u201d \u201cPromotion,\u201d or \u201cPaid Partnership\u201d within the video itself in a font size that is clearly recognizable to the viewer and which appears persistently throughout the length of the video in. the top right hand portion of the video.<\/p>\n

If Affiliate is advertising on other forms of written social media (eg\u00a0<\/em>, Facebook, Twitter), Affiliate must comply with the above disclosure restrictions as applicable to each form of social media.\u00a0Affiliate must also comply with all rules of each social media platform that Affiliate uses.<\/p>\n

 <\/p>\n

5.\u00a0\u00a0\u00a0\u00a0\u00a0Income and Business Opportunity Claims<\/u>. Affiliates are expressly prohibited from making any claims that the use of iDecide will guarantee that the user will make money. If Affiliate's recruiting efforts include claims related to income Affiliate has made from using iDecide or as an Affiliate, the following guidelines must be adhered to:\u00a0<\/strong><\/p>\n

(a) Affiliate's statements must be completely true and accurate and supported by evidence of Affiliate's experience;\u00a0and<\/p>\n

(b) Affiliate's statements must be accompanied by the following disclaimer in clear and conspicuous font and placement: \u201cThese were my results.\u00a0Your results will vary based on a variety of factors including your education, effort, and market factors.\u00a0There is no guarantee You will make any money.\u201d<\/p>\n

Affiliate is also expressly prohibited from making any express or implied claims that the iDecide Affiliate Program is or provides a business opportunity, franchise opportunity, a \u201cbusiness-in-a-box,\u201d or an assisted marketing plan.<\/p>\n

 <\/p>\n

6.\u00a0\u00a0\u00a0\u00a0\u00a0ATI\u2019s Trademarks<\/u>.\u00a0No logo, tagline, trademark, trade name, or trade dress (collectively, the \u201cATI Trademarks\u201d) owned by ATI may be used, copied, or reproduced by any Affiliate except as set forth below.\u00a0No ATI intellectual property (or any mark confusingly similar to any ATI intellectual property) is to be registered as a trademark in any country or registered as a domain name by Affiliate in any way in any country.\u00a0<\/p>\n

Subject to the restrictions below, approved Affiliates are granted a limited, revocable, non-transferrable, and non-assignable license to use the \u201ciDecide, myiDecide, iDecide Assist, or iDecide Custom\u201d trademarks, to advertise iDecide online. Any time Affiliate uses the word \u201ciDecide\u201d it must be immediately followed by \u201c\u00ae\u201d. Affiliate may not use ATI\u2019s trademarks as part of any URL, domain or website name.<\/p>\n

ATI retains exclusive ownership of all ATI\u2019s Trademarks and other intellectual property and all of its rights therein.\u00a0Affiliate shall not promote or provide services to any other business or person that is infringing any of ATI\u2019s intellectual property.<\/p>\n

 <\/p>\n

7.\u00a0\u00a0\u00a0\u00a0\u00a0Complaint Notification.\u00a0<\/u>\u00a0Affiliate must notify Company of any complaint received by Affiliate regarding any advertisements within twenty-four (24) hours of receiving such complaint.\u00a0Notice should be sent to\u00a0Hi@iDecide.com<\/a>.<\/p>\n

9.\u00a0\u00a0\u00a0\u00a0\u00a0NO WARRANTY;\u00a0NO LEADS<\/u>.\u00a0<\/strong>ATI does not promise, guarantee, or warrant Your business success, income, or sales.\u00a0You understand and acknowledge that ATI will not at any time provide sales leads or referrals to You.\u00a0You understand and agree further that this is not a business opportunity,\u00a0a franchise opportunity, a \u201cbusiness-in-a-box,\u201d or an assisted marketing plan.\u00a0You are responsible for procuring and paying for any and all materials and resources necessary to operate as an Affiliate as You determine in Your sole discretion.<\/p>\n

10.\u00a0\u00a0LIMITATION OF LIABILITY\u00a0<\/u>.\u00a0EXCEPT WHERE OTHERWISE INAPPLICABLE OR PROHIBITED BY LAW, IN NO EVENT SHALL ATI OR ANY OF ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, INDEPENDENT CONTRACTORS, TELECOMMUNICATIONS PROVIDERS, AND \/ OR AGENTS BEIRCIDENT LIABLE FOR ANY INDIVIDUAL, CONNECTAL, SPECIAL INDEX PUNITIVE, OR ANY OTHER DAMAGES, FEES, COSTS OR CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT, THE\u00a0PRIVACY POLICY<\/u>\u00a0\u00a0<\/strong>, THE SERVICES OR PRODUCTS, YOUR OR A THIRD PARTY'S USE OR ATTEMPTED USE OF THE WEBSITE OR ANY SOFTWARE, SERVICE, OR PRODUCT, REGARDLESS OF WHETHER ATI HAS HAD NOTICE OF THE POSSIBILITY OF SUCH DAMAGES, FEES, COSTS, OR CLAIMS.\u00a0THIS INCLUDES, WITHOUT LIMITATION, ANY LOSS OF USE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, COST OF PROCUREMENT OF SUBSTITUTE SERVICES OR PRODUCTS, OR ANY OTHER INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, CONSEQUENTIAL, OR OTHER DAMAGES.\u00a0THIS APPLIES REGARDLESS OF THE MANNER IN WHICH DAMAGES ARE ALLEGEDLY CAUSED, AND ON ANY THEORY OF LIABILITY, WHETHER FOR BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), WARRANTY, OR OTHERWISE.<\/p>\n

11.\u00a0DISPUTE RESOLUTION BY MANDATORY BINDING ARBITRATION, CLASS ACTION WAIVER, & GOVERNING LAW.<\/u><\/p>\n

As explained in ATI\u2019s Terms of Service, any controversy or claim arising out of or related to this Agreement or Your relationship with us that cannot be resolved through negotiation within 120 days shall be resolved by binding, confidential arbitration administered by the American Arbitration Association (\"AAA\"), and judgment on the award rendered may be entered in any court having jurisdiction thereof. Please review the Terms of Service for more information.<\/p>\n

12.\u00a0\u00a0Indemnity<\/u>.\u00a0You agree to protect, defend, indemnify and hold harmless ATI, its officers, directors, employees, owner (s), and parent company (ies) and assigns from and against all claims, demands, and causes of action of every kind and character without limitation arising out of Your conduct, acts, or omissions related to Your application and \/ or performance of this Agreement including, but not limited to, any breach of this Agreement.\u00a0Your indemnity obligation includes, but is not limited to, any third-party claim against ATI for liability or payments for damages caused by, or other liability relating to, You.\u00a0This provision expressly survives the termination of this Agreement.\u00a0<\/strong><\/p>\n

13.\u00a0\u00a0Severability<\/u>.\u00a0In the event any provision of this Agreement is inconsistent with or contrary to any applicable law, rule, or regulation, the provision shall be deemed to be modified to the extent required to comply with the law, rule, or regulation, and this Agreement and the Terms of Service, as so modified, shall continue in full force and effect.\u00a0<\/strong><\/p>\n

It is your responsibility to ensure that you have the right to use the Services where you are located, as well as where your meeting invitees are located. You agree that the use of\u00a0All Things Interactive<\/span>, LLC is subject to U.S. and local export control laws and regulations. You represent that you are not a citizen of an embargoed country or a prohibited end user under applicable U.S. or local export and anti-terrorism laws, regulations<\/g> and lists. You agree not to export, re-export, divert, transfer or disclose any portion of the Services or Services websites or any related technical information or materials, directly or indirectly, in violation of any applicable export law or regulation.<\/p>\r\n

17.4\u00a0\u00a0\u00a0 This Agreement, including the documents referred to in this Agreement, are the entire agreement regarding the Services and completely replace any prior agreements.       Sending Subject to Additional Scrutiny<\/h1>\r\n

      • Use any misleading or incorrect names, addresses, email addresses, subject lines, or other information on the Website or in any Emails created or sent using our Service.<\/li>\r\n
      • Share your password.<\/li>\r\n

      • Decipher, decompile, disassemble, or reverse engineer any of our software or Websites.<\/li>\r\n
      • Use any of the software to create a competing product.<\/li>\r\n
      • Import or incorporate any of this information into any emails or uploads to our servers: Social Security numbers, passwords, security credentials, or sensitive personal information.<\/li>\r\n
      • Upload or send to purchased, rented, third-party, co-reg, publicly available data, or partner lists of any kind.<\/li>\r\n

      • Download, distribute, install or otherwise redistribute the Products in any form other than through the subscriber portal of the Sites.       • Redistribute, encumber, sell, rent, lease, sublicense, or otherwise transfer rights to the Product and Subscription Services.<\/li>\r\n
      • Remove, obscure or alter any trademark, logo, copyright or other proprietary notices, legends, symbols or labels in the Product and Subscription Services.<\/li>\r\n

          END USER LICENSE AGREEMENT<\/h2>\r\n

          Apps made available through the App Store are licensed, not sold, to you. Your license to each App is subject to your prior acceptance of either this Licensed Application End User License Agreement (\u201cStandard EULA\u201d), or a custom end user license agreement between you and the Application Provider (\u201cCustom EULA\u201d), if one is provided. Your license to any Apple App under this Standard EULA or Custom EULA is granted by Apple, and your license to any Third Party App under this Standard EULA or Custom EULA is granted by the Application Provider of that Third Party App. Any App that is subject to this Standard EULA is referred to herein as the \u201cLicensed Application.\u201d The Application Provider or Apple as applicable (\u201cLicensor\u201d) reserves all rights in and to the Licensed Application not expressly granted to you under this Standard EULA.<\/p>\r\n

          a. Scope of License: Licensor grants to you a nontransferable license to use the Licensed Application on any Apple-branded products that you own or control and as permitted by the Usage Rules. The terms of this Standard EULA will govern any content, materials, or services accessible from or purchased within the Licensed Application as well as upgrades provided by Licensor that replace or supplement the original Licensed Application, unless such upgrade is accompanied by a Custom EULA. Except as provided in the Usage Rules, you may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time. You may not transfer, redistribute or sublicense the Licensed Application and, if you sell your Apple Device to a third party, you must remove the Licensed Application from the Apple Device before doing so. You may not copy (except as permitted by this license and the Usage Rules), reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, any updates, or any part thereof (except as and only to the extent that any foregoing restriction is prohibited by applicable law or to the extent as may be permitted by the licensing terms governing use of any open-sourced components included with the Licensed Application).\u00a0<\/p>\r\n

          b. Consent to Use of Data: You agree that Licensor may collect and use technical data and related information\u2014including but not limited to technical information about your device, system and application software, and peripherals\u2014that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to the Licensed Application. Licensor may use this information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to you.<\/p>\r\n

          c. Termination. This Standard EULA is effective until terminated by you or Licensor. Your rights under this Standard EULA will terminate automatically if you fail to comply with any of its terms. A cancellation can be initiated through the App Store or your iCloud account, or through your device's Settings app.<\/p>\r\n

          d. External Services. The Licensed Application may enable access to Licensor\u2019s and\/or third-party services and websites (collectively and individually, \"External Services\"). You agree to use the External Services at your sole risk. Licensor is not responsible for examining or evaluating the content or accuracy of any third-party External Services, and shall not be liable for any such third-party External Services. Data displayed by any Licensed Application or External Service, including but not limited to financial, medical and location information, is for general informational purposes only and is not guaranteed by Licensor or its agents. You will not use the External Services in any manner that is inconsistent with the terms of this Standard EULA or that infringes the intellectual property rights of Licensor or any third party. You agree not to use the External Services to harass, abuse, stalk, threaten or defame any person or entity, and that Licensor is not responsible for any such use. External Services may not be available in all languages or in your Home Country, and may not be appropriate or available for use in any particular location. To the extent you choose to use such External Services, you are solely responsible for compliance with any applicable laws. Licensor reserves the right to change, suspend, remove, disable or impose access restrictions or limits on any External Services at any time without notice or liability to you.\u00a0<\/p>\r\n

          e. NO WARRANTY: YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE LICENSED APPLICATION IS AT YOUR SOLE RISK. You may not use or otherwise export or re-export the Licensed Application except as authorized by United States law and the laws of the jurisdiction in which the Licensed Application was obtained. In particular, but without limitation, the Licensed Application may not be exported or re-exported (a) into any U.S.-embargoed countries or (b) to anyone on the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List. By using the Licensed Application, you represent and warrant that you are not located in any such country or on any such list. You also agree that you will not use these products for any purposes prohibited by United States law, including, without limitation, the development, design, manufacture, or production of nuclear, missile, or chemical or biological weapons.<\/p>\r\n

          h. The Licensed Application and related documentation are \"Commercial Items\", as that term is defined at 48 C.F.R. \u00a72.101, consisting of \"Commercial Computer Software\" and \"Commercial Computer Software Documentation\", as such terms are used in 48 C.F.R. \u00a712.212 or 48 C.F.R. \u00a7227.7202, as applicable. Consistent with 48 C.F.R. \u00a712.212 or 48 C.F.R. \u00a7227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights as are granted to all other end users pursuant to the terms and conditions herein.           i. Except to the extent expressly provided in the following paragraph, this Agreement and the relationship between you and Apple shall be governed by the laws of the State of California, excluding its conflicts of law provisions. You and Apple agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Santa Clara, California, to resolve any dispute or claim arising from this Agreement. If (a) you are not a U.S. citizen; (b) you do not reside in the U.S.; (c) you are not accessing the Service from the U.S.; and (d) you are a citizen of one of the countries identified below, you hereby agree that any dispute or claim arising from this Agreement shall be governed by the applicable law set forth below, without regard to any conflict of law provisions, and you hereby irrevocably submit to the non-exclusive jurisdiction of the courts located in the state, province or country identified below whose law governs:<\/p>\r\n

          If you are a citizen of any European Union country or Switzerland, Norway or Iceland, the governing law and forum shall be the laws and courts of your usual place of residence.<\/p>\r\n

          Specifically excluded from application to this Agreement is that law known as the United Nations Convention on the International Sale of Goods.<\/p>\r\n

Prices may be converted and listed in your local currency.
